Cybersecurity is a major issue for VDR providers as well as their clients due to the sensitive nature of information in M&A transactions, pre-IPO due reviews of due diligence, bankruptcy or restructurings. Audits as well as fundraising efforts, intellectual property and fundraising efforts, etc. Unauthorized access or disclosure can have serious financial consequences. VDR security features should include strong passwords and username control, from end to end encryption, tamper proof design and deterrent features like document watermarking, to prevent uninvited printing and downloading of sensitive information.
VDRs are able to assist forensic investigations into security incidents, by providing a detailed audit trail and user activity. These records can assist investigators to understand the extent of the breach, the cause and the impact the breach. They can also provide insight into the weaknesses of data protection practices, allowing organizations to correct their practices before the next incident occurs.
Apart from ensuring that the VDR itself is secure it is essential to ensure that users do not interfere with recordings by using other information (such as backups). A feature that allows the users who are on the board to mark the recording be used as an option. This marker could be a separate file which is not saved along with the original recording. This would ensure the integrity of the data recorded. As an alternative to this, the requirement for the people on board to manually save a record could be eliminated altogether and a requirement could be added that data only be saved with the help of a key or another secure measure.
